Welcome to Small Block. These Terms of Use ("Terms") govern your access to and use of the Small Block platform, website, and all related AI-powered tools and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to do so.

1. Services Provided

AI-Powered Economic Development Platform

Small Block provides an AI-powered platform designed to assist in economic development, capital attraction, and strategic planning by analyzing local context and generating relevant strategic options ("Output").

Beta Services

Services may be designated as "Beta," "Pilot," or "Early Access" and may contain bugs or defects. We reserve the right to modify or discontinue Beta features at any time without notice.

AI & Predictive Modeling

Our Services use AI and machine learning models which are probabilistic. Output may contain inaccuracies or "hallucinations." You agree to independently verify all Output before relying on it.

2. Your Account and Responsibilities

Classification & Account Security

You must be at least 18 years old or the age of legal majority in your jurisdiction
You are responsible for maintaining the confidentiality of your account credentials
You must notify us immediately of any unauthorized use of your account

Prohibited Uses

You agree not to use the Services:

In any way that violates applicable laws or regulations
To upload, transmit, or distribute viruses, worms, or other harmful code
To attempt to gain unauthorized access to the Services or connected systems

Public Records & Confidentiality

If you are a government entity subject to Freedom of Information Acts (FOIA), you agree to treat Small Block's algorithms, source code, and proprietary methodologies as Trade Secrets and confidential proprietary information, exempt from disclosure to the fullest extent permitted by law.

3. Intellectual Property Rights

Our IP

The Services, including all software, algorithms, and AI technology, are owned by Small Block and protected by intellectual property laws.

Client Content IP

You retain all ownership rights to the raw data and proprietary context ("Client Content") that you upload to the Services.

Output IP

Upon payment of all applicable fees, the Output (reports, strategies, and generated content) is licensed to you for your economic development goals.

4. Warranties and Limitation of Liability

WARRANTY DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE SERVICES AND RELIANCE ON THE OUTPUT IS AT YOUR SOLE RISK.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMALL BLOCK BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
